SOFTWARE TERMS & LICENSING AGREEMENT

Nature of License: This is a license to access, not a transfer of ownership. All source code, design elements, and underlying logic remain the sole property of IPN.

1.2 Service Bureau & White-label Provisions
If your tier includes Service Bureau or White-Label capabilities, the following applies:
Downstream responsibility: You are responsible for all actions taken by your sub-users, contractors, or junior preparers.
Branding: While you may apply your branding to the interface, you may not claim ownership of the underlying software architecture.
Support tiering: You agree to act as the primary point of contact for your sub-users; IPN provides technical support to you, not necessarily to your end-users.
1.3 User Obligations & Compliance
Credential security: You are responsible for maintaining the confidentiality of login credentials. Multi-factor authentication (MFA) must be enabled where available.
EFIN/PTIN validity: You represent that you (and your staff) hold valid IRS credentials (EFIN/PTIN) required to perform tax services. IPN reserves the right to suspend access if credentials are found to be invalid or revoked.
Data accuracy: IPN provides the tools, but you provide the data. You are solely responsible for the accuracy of tax returns, financial reports, and client communications generated through the Platform.
1.4 Restrictions
You shall not:
Decompile, reverse engineer, or attempt to extract the source code of the Software.
Use the Software to build a competing product or service.
Circumvent any security measures or usage limits set by IPN.
Share a single user license across multiple individuals (unless a multi-user license is purchased).
1.5 Fees, Billing, & Access
Subscription models: Access is granted based on your specific subscription or "per-return" fee structure.
Suspension for non-payment: IPN reserves the right to freeze access to the Software and any stored data if fees are more than [Insert Number] days past due.

1.6 Intellectual Property (IP)

1.7 Limitation of Liability & Disclaimers
"As-Is" basis: The Software is provided "as is" without warranty of any kind. We do not guarantee that the software will be 100% error-free or uninterrupted.
Professional judgment: The Software is a tool meant to assist professionals. It does not replace professional judgment. IPN is not responsible for IRS penalties, interest, or legal fees resulting from errors in tax preparation.
Liability cap: To the maximum extent permitted by law, IPN’s total liability shall not exceed the total fees paid by you to IPN during the 6 months prior to the claim.
1.8 Data Retention & Termination
Termination by IPN: We may terminate this license immediately for material breach of terms, including unethical business practices or violation of IRS regulations.
Post-termination access: Upon termination or expiration of a subscription, your access to the Software will cease. It is your responsibility to export all client records and tax data prior to the end of your term.
1.9 Indemnification
You agree to indemnify and hold harmless The Legacy Counsel Group, LLC and its affiliates from any claims, damages, or legal fees arising from your use of the Software, your professional negligence, or any breach of this Agreement.

Certain resources provided by IPN may include data or guidance derived from third-party sources (such as the IRS or state agencies). While we strive for accuracy, IPN is not liable for errors or omissions in third-party documentation or sudden changes in tax legislation.
